Google Reselling Standard Terms and Conditions
Applicable Products and Services
GOOGLE SEARCH APPLIANCE
- License Terms. For Google Search Appliance and Google Mini Products ordered pursuant to this Order Form, the parties agree that use of the product is under the conditions of the Google Inc. License Agreement (‘Agreement’). All capitalized terms used herein have the meanings stated in the Agreement, unless stated otherwise.
- Shipment and License Keys. No shipment will occur prior to MC+A’s receipt of a complete and duly executed Order Form or accepted purchase order. Upon shipment, MC+A may provide Customer with a temporary license key and will transmit a permanent license key upon receipt of full payment.
- Technical Support Services. In consideration of Customer’s payment to MC+A of the Fees, Google shall provide TSS to Customer for the period of time set forth on the cover page of the Order Form (‘Support Period’). The Support Period shall begin upon five (5) days following the Shipment Date, unless otherwise specified above. All TSS shall be provided in accordance with the Google Search Appliance Technical Support Services Guidelines. Google reserves the right to make changes to TSS from time to time, provided that any such change does not materially adversely impact Customer.
OTHER
- Payment Terms. Customer shall pay MC+A fees in the amount and on the terms specified above, free and clear of, and without any reduction for, any and all taxes. If none are specific, MC+A standard terms are NET 30. Customer shall pay any taxes, including sales, use, personal property, value-added, excise, customs fees, import duties or stamp duties or other taxes and duties imposed by governmental agencies of whatever kind and imposed with respect to all transactions and Order Forms under the Agreement, including penalties and interest, but specifically excluding taxes based upon MC+A’s net income. When MC+A has the legal obligation to pay or collect such taxes, the appropriate amount shall be invoiced to and paid by Customer unless Customer provides Google with a valid tax exemption certificate authorized by the appropriate taxing authority. All payments due are in U.S. dollars unless otherwise indicated above.
- Purchase Order. If Customer requires a purchase order number to be included on the invoice, Customer shall issue a purchase order(‘Purchase Order’) to MC+A with the Purchase Order number set forth above and Google shall have no obligation to ship the Appliance or provide support services until the Purchase Order has been received by MC+A. In the event that Customer does not require a Purchase Order number to be included on the invoice, MC+A may invoice Customer directly without a Purchase Order and Customer agrees to pay the invoiced amount without a Purchase Order. The parties agree that none of the terms and conditions of any such Purchase Order (or subsequent Purchase Orders from Customer) shall apply to or modify the Agreement between the parties as documented in this Order Form and the Agreement, and that any terms or conditions in such Purchase Orders are null and void.
- Professional Services – Free. Any free consultation has limited availability and will be provided as is, NO WARRANTY on a first come, first served basis.
- Professional Services – Paid. Any paid professional services will be provide in accordance to MC+A’s professional service agreement.
